Development projects in Cyprus fail for predictable legal reasons. A contractor agreement that does not include a performance bond. An off-plan presale agreement that does not protect the developer's position if a buyer defaults. A planning submission that triggers a neighbour objection that could have been anticipated and managed.

Acquisition Documents
The sale and purchase agreement, the transfer deed, and the Land Registry filing that vests title in the developer. We draft these to protect the developer's position — including conditions precedent for planning, delayed completion provisions, and warranties as to title and planning status.

Construction Contracts
The main contractor agreement — covering scope, programme, payment terms, variations, performance bonds, retention, and termination rights. We also prepare the sub-contractor and professional services agreements on terms consistent with the main contract.

We manage the preparation and submission of planning applications, environmental impact assessments, and any required public consultation documentation. Where a permit is refused or conditioned, we advise on appeal rights and manage the appeal process.

Off-Plan Presale Agreements
Cyprus law requires off-plan sales to be documented in a specific statutory form — the Contract for Sale — which must be deposited with the Land Registry within a defined period. We prepare these agreements in the correct statutory form, with commercial terms that protect the developer's cash flow and programme.

Development Finance Documents
Where the development is financed by a bank or other lender, we prepare and review the loan agreement, the security documentation — typically a mortgage over the development site — and the drawdown conditions. We manage the relationship between the finance documents and the construction programme.

Completion & Handover
The completion certificate, the title transfer documentation for each unit, the VAT and transfer tax filings, and the snagging and defects protocol. We manage the completion process as a legal project — ensuring every buyer receives clean title and every statutory obligation is discharged.
